These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and LinguaMetrics Technology LLC ("LinguaMetrics," "we," "us," or "our") governing your access to and use of the LinguaMetrics multilingual contract intelligence platform, MCP server, APIs, website, and related services (collectively, the "Service").
By creating an account, connecting to our MCP server, using an API key, or otherwise accessing the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. SERVICE DESCRIPTION
The Service includes contract analysis, risk assessment, contradiction detection, critical event extraction, report generation, multilingual translation, and portfolio search capabilities. The Service is accessible via web interface, MCP server, and REST API.
2. ACCOUNTS AND REGISTRATION
2.1 Account Creation
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys.
2.2 Account Security
You are responsible for all activities that occur under your account. You must notify us immediately at support@linguametrics.com if you become aware of any unauthorized use of your account or API keys. We are not liable for any loss resulting from unauthorized use of your credentials.
2.3 Account Eligibility
You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of a company or organization, you must be authorized to accept these Terms on their behalf.
3. SUBSCRIPTION PLANS AND PAYMENT
3.1 Plans
The Service is offered through multiple subscription tiers: Try It Free, Pay-As-You-Go, Pro, Enterprise, and Enterprise Plus. Each tier provides different contract processing limits, tool access levels, AI model tiers, and rate limits.
3.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis as selected during signup. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to change pricing upon 30 days' written notice; existing subscribers will retain their current pricing through the end of their paid billing period.
3.3 Free Tier and Trials
Free tier accounts and trial periods are subject to reduced processing limits and tool access. We reserve the right to modify, suspend, or discontinue free tier offerings at any time. Free tier accounts inactive for 90 days may be deleted after notice.
3.4 Overages and Rate Limits
Each subscription tier includes specific rate limits for API calls and MCP tool calls. Exceeding these limits will result in temporary throttling (HTTP 429 responses with retry-after headers), not overage charges. If you consistently require higher limits, we recommend upgrading to a higher tier.
4. ACCEPTABLE USE
4.1 Permitted Use
You may use the Service to upload, analyze, and manage legal contracts and related documents that you have the right to process. You may integrate with the Service via the MCP protocol, REST API, or web interface.
4.2 Prohibited Use
You agree not to:
- Upload documents you do not have the legal right to process or analyze.
- Use the Service to infringe on the intellectual property rights of others.
- Attempt to circumvent authentication, rate limits, access controls, or tenant isolation.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service to develop a competing product or service.
- Share API keys or OAuth credentials with unauthorized parties.
- Submit content designed to exploit, disrupt, or attack the Service or its AI processing providers.
- Use automated scripts to create accounts, generate excessive load, or scrape data from the Service beyond normal API/MCP usage.
- Use the Service for any purpose that violates applicable laws or regulations.
4.3 Enforcement
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. For non-critical violations, we will make reasonable efforts to notify you and allow time to remedy the issue before suspension.
5. INTELLECTUAL PROPERTY
5.1 Your Content
You retain all rights to the documents you upload and the data contained within them ("Your Content"). By uploading documents to the Service, you grant LinguaMetrics a limited, non-exclusive license to process, analyze, and store Your Content solely for the purpose of providing the Service to you. This license terminates when you delete your content or close your account.
5.2 Analysis Results
Analysis reports, risk assessments, extracted data, and other outputs generated by the Service from Your Content ("Analysis Results") are owned by you. You may use, copy, and distribute your Analysis Results without restriction.
5.3 Our Intellectual Property
The Service, including its software, algorithms, processing pipeline, user interface, documentation, and branding, is owned by LinguaMetrics and protected by intellectual property laws. Patent pending (USPTO provisional application). Nothing in these Terms grants you any right to our intellectual property except the limited right to use the Service as described herein.
5.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.
6. MCP SERVER TERMS
6.1 Connection and Authentication
You may connect to the LinguaMetrics MCP server through any MCP-compatible client. Authentication is required via OAuth 2.1 or API key. Each connection is subject to the rate limits and tool access controls of your subscription tier.
6.2 Tool Descriptions and Behavior
Our MCP tools are described accurately in their tool definitions. Each tool performs only the function described in its name and description. We do not include hidden functionality, attempt to influence the behavior of the MCP client, or access data from other MCP servers.
6.3 Data Handling via MCP
Data submitted through MCP tool calls is subject to the same privacy protections, tenant isolation, and security measures as data submitted through the web interface or REST API. See our Privacy Policy for details.
6.4 Disconnection
You may disconnect the LinguaMetrics MCP connector at any time. Disconnecting does not delete your LinguaMetrics account or data. To delete your account and data, contact support@linguametrics.com.
7. DATA PROCESSING
7.1 Processing Scope
We process Your Content solely for the purpose of providing the Service.
7.2 Sub-Processors
We use the following categories of sub-processors to deliver the Service:

7.3 No Training Use
We do not use Your Content or Analysis Results to train AI models. We do not permit our AI sub-processors to use your data for model training.

All data is processed and stored in the United States (Azure East US region).
7.5 Data Retention and Deletion
Data retention periods are described in our Privacy Policy. You may request deletion of your data at any time by contacting support@linguametrics.com.
8. SERVICE AVAILABILITY AND SUPPORT
8.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
8.2 Support
Support is available via email at support@linguametrics.com. Response times vary by subscription tier.
9. DISCLAIMERS
9.1 No Legal Advice
The Service provides AI-powered contract analysis for informational purposes only. Analysis Results are not legal advice. You should consult a qualified attorney before making legal decisions based on the Service's output. LinguaMetrics is not a law firm and does not provide legal services.
9.2 AI Accuracy
While we strive for accuracy, AI-generated analysis may contain errors, omissions, or inaccuracies. The Service should be used as a tool to assist human review, not as a replacement for professional judgment.
9.3 "As Is" Provision

11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless LinguaMetrics from any claims arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you upload that you did not have the right to process.
12. TERMINATION
12.1 By You
You may terminate your account at any time by contacting support@linguametrics.com. For paid subscriptions, termination takes effect at the end of your current billing period. Fees already paid are non-refundable.
12.2 By Us
We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law.
12.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain your data for the periods described in our Privacy Policy unless you request earlier deletion. Sections 5, 9, 10, 11, and 14 survive termination.
13. CHANGES TO THESE TERMS
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
14. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Disputes shall be resolved exclusively in the state or federal courts located in Lee County, Florida.
15. GENERAL PROVISIONS
- Entire Agreement: These Terms, together with any documents incorporated by reference, constitute the entire agreement between you and LinguaMetrics regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Any waiver of a provision of these Terms must be in writing and does not constitute a waiver of any other provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: We are not liable for delay or failure to perform resulting from causes beyond our reasonable control.
- Notices: Notices under these Terms may be provided by email, in-product notification, or posting on our website, as applicable.
